Drama Juniors Season 7 – Auditions Terms & Conditions

Zee Entertainment Enterprises Limited (“Company”) is conducting Auditions (“Activity/Auditions”) for their new Programme/show in its TV channel namely “Zee Telugu”, tentatively titled as “Drama Juniors Season 7”, (“Program”). By virtue of participating in the Activity, the Participant hereby accept, and agree to be bound by these terms and conditions (“Terms and Conditions”):

1. In order to stand a chance to be shortlisted to Participate in the show tentatively titled as “Drama Juniors Season 7”, Participant must upload a video of themselves, acting, singing, dancing, martial arts, magic tricks etc and submit the video via mail to the e-mail id “dramajuniorsseason7@gmail.com” or to the WhatsApp number “+919100054301” as required in the manner provided in these Terms and conditions.

2. To be eligible, the Participant must accept these Terms and Conditions together with any specific instructions and terms which may be communicated to them, by way of electronic messages, or on the website, or communicated to Participant in any other manner.

3. Eligibility: To be eligible for selection, the Participant must meet the following eligibility criteria:

   1. Should be between the ages of 3 (three) to 13 (thirteen) years only.
   2. must be legally eligible to enter into a contract.
   3. must not have any criminal action, proceedings or investigations pending against them.
   4. should not have any arrangement, agreement or contract with any third party that prevents or may prevent them from participating in the Activity.
   5. Must submit a copy of their respective Aadhaar Card (redacted) or any Govt. ID to the Company.
4. The Participants are prohibited from lip-syncing, dubbing, or engaging in any activity that does not showcase their talent. Any submission of lip-sync or dub videos will result in disqualification..
5. The Activity Period for submission of entries shall be from, 25 Dec 2023 till 25^th February 2023.

6. The Company reserves its right to change the date and time of the Activity at its sole discretion at any point of time, without any prior intimation.

7. Merely participating in the Activity or uploading a video does not guarantee the selection or participation of the Participant to feature/participate in the remaining round of auditions or the Competition. The Company reserves its right to disqualify and/or exclude, in its sole and absolute discretion, any participant, without assigning any reason, therefore.

8. To participate in the audition, the Participant shall upload their video recording of 2 (Two) minutes duration and

subject as “Participant – xyz (name)” along with details such as name, age, location and Language known to the Participant to be mention in the mail body.

   The entries shall be evaluated for screening by the Company and selection shall be as per the sole discretion of the Company. Only entries below 100 mb and duration of 2 (Two) minutes, received within the date and time mentioned in this Terms and Conditions shall be considered as a valid entry. The Last date to receive the video recording of the participant is on 25^th February 2023, till 11:59 p.m. Any submission received outside of the abovementioned date and time shall be

rejected. It is clarified that the Company may, at its sole discretion, alter or substitute the Website URL associated with the submission of entry, without any prior notice

10. Participant shall ensure that all video submissions shall only feature the Participant who meet the above eligibility criteria and shall not include any third person. Any submission made in contravention to the above shall automatically stand disqualified.

11. It is clarified that, irrespective of the number of entries made by a Participant, each Participant shall stand only a single chance to be selected for next round of auditions. In the event Participant are submitting various videos with different style of acting, sing, dancing, martial arts, magic tricks each time, the company will shortlist on the basis of the first submission made by the Participant. Any Participant found to be in breach of the same, as solely determined by the Company, shall stand disqualified from the Audition.

12. The Company does not demand or accept any registration fees from the Participant.

13. The Company has not hired any Agencies in the process of this Activity and shall not be liable for any misleading/ deceiving acts committed by any such Agencies towards participant(s).

14. The Company shall not, under any circumstances, be responsible or liable for any Entries submitted by the Participant but not received or recorded due to any reason whatsoever including but not limited to technical disruption and/or network provider’s connection failure and/or any other reason whatsoever. The Audition is provided on an “as-is” basis and the Company expressly disclaims any representation or warranty with respect to the functioning or performance of the website(s) or any other element of the Audition. The Participant accept and agree that their respective Entry/participation in the Audition shall not entitle them for any prizes.

15. The shortlisted Participant will be contacted by the Company directly for second round of Auditions to be held at Hyderabad on the date decided by the Company.

16. The Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, unavailability of the Participant, theft or destruction or unauthorized access to, or alteration of, any Participant communication.

17. At no point of time will the Company be obliged to notify the Participant, as to whether their respective Entry has been disqualified/cancelled or rejected.

18. The shortlisted Participant shall travel to shoot locations and the local travel expenses including stay and commute to the shoot location for second round of auditions to be held at Hyderabad, shall be borne by the Participant. Company shall not be responsible in any manner whatsoever in this regard.

19. The Participant, if selected for the ground auditions, agrees to be present and available on such locations as per the requirements of the Company. Participant shall be solely responsible for travel to and from Hyderabad. The company shall not be responsible in any manner whatsoever in this regard.

20. Participant shall ensure that any information submitted, including but not limited to the details contained in the Entry, is decent, in compliance with applicable laws, and is not immoral, defamatory, abusive, offensive, insensitive, libelous, or blasphemous to any person, religious sect or section of the society, or infringe the rights of any third party including any intellectual property rights etc.

21. If the Participant fails to make submit the entry in accordance with the procedures hereinabove then his/her Entry shall be considered incomplete, and the Participant shall not be eligible for selection for the purpose of Audition. For the avoidance of doubt, it is hereby clarified that by submitting the entry the Participant is representing that the Entry or contents thereof are not confidential or comprise any sensitive personal information or violate any privacy details of the Participant.

22. The Participant specifically agrees, allows, grants and permits the Company or any party authorized by the Company to record (audio-video/audio or video) the participation process/performance for the Activity, including but not limited to the performance and any interaction of the Participant(s) with the Company or fellow Participant(s)or any judges and/or representative of the Company, if any, rendered during entire Activity Period or any related series of video recordings which have been shot during the Activity Period on film, tape or digital or other electronic media, and includes recording of any personal questions or conversations relating to the personal lives of the Participants (“Footage”) and agrees that the Footage may be used by the Company as it deems fit anywhere in the world at any time now or in the future, including but not limited for promotion of the Show. For the avoidance of doubt, all rights in the Footage vests exclusively with the Company worldwide in perpetuity and the Company is entitled to exploit the same in any manner it may deem fit.

23. The Participant agrees that the Company at its sole and absolute discretion, reserves its right to add and/or exclude, partially or completely, the Participants’ video submission, and/or reduce the duration of the same while featuring the Participants’ video submission during the selection process.

24. The selection/participation of any Participant shall be immediately rejected, if it is found that the Participant have provided wrong, incomplete, inaccurate or false information or has suppressed any information that would affect their participation in the competition.

25. The Participant agree and undertake to follow all directions/rules and regulations framed or given by the Company from time to time in connection with the Activity and further agree not to raise any objections / claims either during the release/broadcast of the videos sent by the Participant.

26. The Participant shall not have any right to claim any remuneration or royalty in relation to the Activity or in respect of any performance/videos/photographs or other work(s) submitted by them in relation to the Activity.

27. The Participant undertakes to execute any such documents as required by the Company in respect of participating in the Activity or otherwise as may be required by the Company in connection with the auditions/activity.

28. Participant shall submit such documents as may be required by the Company to establish/verify their respective age, address and nationality, including, without limitation copies of their Driving License, Aadhar card, Pan card, passport, Election card etc (“Documents”).

29. In the event any Participant fails to furnish the Documents, such Participant’s entry/submission may be disqualified, and the Participant may not be allowed to participate in the Activity, as per the Company’s sole discretion. Additionally, the Company may at its sole discretion select another Participant from amongst the eligible Participant(s) to replace such disqualified/terminated Participant.

30. The Participant agrees that his/her participation is of a voluntary nature and at his/her own risk and will have no claim against the Company now or later, on any account whatsoever. The Company shall not be responsible for any damage, loss or any form of physical or mental harm or injury caused to any Participant(s) now or later, during the Activity.

31. All expenses incurred by the Participant in relation to the Activity shall be solely borne by the Participant and the Company shall not be liable to make any payments to the Participant.

32. The Participant unconditionally and irrevocably assign all rights including but not limited to Intellectual Property in all performance/videos/photographs/work(s) submitted by them in relation to the Activity in favour of the Company, for the entire world and in perpetuity and the Participant agree and acknowledge and make all necessary declarations confirming the aforesaid. Such

assignment shall operate for all the modes, media and formats of exploitation in respect of all videos/photographs/work(s) submitted by them in relation to the Activity.

33. The Company may promote this Audition and announce the selected Participant via telephonic calls or on the social media platform of the Company and/or through its Channel or such other means as determined by the Company in its sole discretion to perform in the ground audition.

34. It is further clarified that the details including but not limited to the Entry (including the Participant’s IP address) will be saved and stored in the Company’s data bank/ server and the same may be utilized and publicized for any purpose related to the Audition and for the Channel and the Participant hereby consent to the same.

35. In addition, the Company reserves its right reach out to the Participant for marketing activities through calls, SMS, chat applications & other internet and phone number-based applications and the Participant hereby consent to the same.

36. The Participant agrees, confirms and warrants that he/she shall have no right, title, interest or other claim whatsoever over his/her performance/work/videos/photos submitted or created during the Activity Period and the copyright in the same shall vest with the Company in perpetuity for the entire world.

37. The Participant shall not, under any circumstances, make any claims against the Company arising out of or relating to any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, caused directly or indirectly due to the Participant’s participation in the Audition or any related activity, to the extent permitted under law. If the Participant is found to be ineligible, or if he/ she has not complied and/or found to be in breach of these Terms and Conditions, the corresponding Entry will stand disqualified and such decision shall be final and binding on the Participant.

38. Employees, officers, agents, affiliates (including their respective family members and relatives) of the Company, its group companies, affiliates, subsidiaries, holding companies are not eligible to participate in the Audition.

39. All the decision of the Company shall be final and binding on the Participant. No disputes regarding the participations/selection/rejection/broadcast or rights of the Participant will be entertained at any point of time. Decisions of the Company shall be final and binding on the Participant(s).

40. The Participant declares that the Participant will keep in confidence all the information and details in respect of the Activity and any matter related thereto and shall not reveal any material facts regarding concept, content etc. of the Program, If the Participant is found to have violated any of the terms of this declaration, the Company or such other person engaged by the Company will be entitled to take appropriate legal action against the Participant as per the applicable provisions of law.

41. The Participant(s) shall hold harmless and indemnify, the Company, its affiliates, its group companies, their employees, officers, directors or any other person from and against any injury/damage/harm/loss/ death/ mental or emotional trauma or lost opportunity suffered by the Participant(s) in connection with the Activity and also to the extent possible under law, waives all rights to file in person/ through any family member and/or third party any complaints, applications, criminal and/or civil proceedings in any courts or forum in India to claim any damages or reliefs in relation to the Audition. Further the Participant(s) shall hold harmless and indemnify the Company, its affiliates, its group companies, their employees, officers, directors and/or any other person from and against any suit/litigation/injury/damage/harm/loss/costs (including legal costs) suffered by the Company arising out of or in relation to the Participants’ participation in the Audition, any act of the Participant, any post and/or Entry and/or any third-party rights claims with respect to the material submitted by the Participant(s)

42. The Participant(s) shall not hold the Company, its affiliates, contractors, partners, vendors and promotion and advertising agencies responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of participant information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit Participant’s ability to participate in the Audition, including any injury or damage to Participant or any other person’s mobile device or internet connection relating to or resulting from participating in the Audition or downloading any materials. The Company and/or its representatives shall not be responsible for lost, late, illegible, incomplete, invalid, unintelligible, technically corrupted or misdirected entries, which shall be disqualified. The Company shall attempt to use commercially reasonable efforts to ensure the security and accuracy of all Entries and the methodologies/ processes/ mechanisms of said Entries, however, the Participant hereby acknowledge and agree that such methodologies/ processes/ mechanisms are not infallible, and that the Company makes no guarantee as to its effectiveness.

43. All Entries and/or any kind of data received by the Company and/or through the website portal shall be stored, maintained or shared in accordance with the Company/ Mobile Network privacy policy and the Company shall at no time be under any kind of obligation to discard or maintain the said information received from the Participant.

44. By participating in the Audition, the Participant grants in favour of the Company, its agents, affiliates or assigns, the right to use the likeness, face, name, signature, voice, photographs, biographical data or image of the Participant, in any manner, in relation to the Audition or for any promotional or marketing activities related to the Channel and its programmes.

NO LIABILITY

1. The Company, shall be under no liability whatsoever to the Participant, in respect of any loss, damage suffered by the Participant arising from or pursuant to the Activity and/or Program or for any and all loss, damage, cost, expense or injury to life or property sustained by the Participant at any stage of the Activity, whether or not caused (1) by the Participant’s participation in the Activity, or being selected or disqualified including loss of opportunity, loss of earnings, employment or otherwise caused to the Participant and arising as a result of his/her participation in the Activity;

(2) as a result of the decisions of the Company; (3) as a result of any comment, remark, judgment, view, criticism, critique, opinion and/or observation made and/or passed by the Company; (4) by any printing, typographical or technological errors in any materials associated with the Activity and/or (5) enroute while coming to the location. Notwithstanding the generality of the foregoing, the Company expressly excludes liability for all direct, indirect and consequential loss or damage, including but not limited to loss or damage to property or for loss of profit, business, revenue, goodwill or anticipated savings pursuant to participation in the Activity. In no event will the measure of damages include, nor will the Company be liable for, any amounts for indirect, incidental, consequential, or punitive damages of any party, including third parties, or for damages attributable to the Participant or circumstances beyond the Company’s reasonable control.

2. Company shall not be held accountable/liable for any disruptions/stoppages/ interruptions or cancellation of the Audition on account of any force majeure factors or otherwise.

3. Company shall not be held responsible or accountable for any expenses (including but not limited to charges charged by the network providers for each Entry submitted by the Participant), loss, or any other liability which may arise due to the Participant submitting Entries on the Website.

4. The Participant hereby agrees to indemnify the Company and/or its affiliates against any claims that might arise from his/her actions or omissions while participating in the Audition or due to any representations, misrepresentations, or concealment of material facts by the Participant.

OTHER TERMS

1. Each provision of this Terms and Conditions shall be considered severable, and if any provision of these Terms and Conditions is held to be void, invalid or unenforceable by any court or other competent authority, in whole or in part, such invalidity or unenforceability shall have no effect upon the remaining provisions of the Terms and Conditions and the other provisions of these Terms and Conditions shall continue to be valid, enforceable and binding on the Participant.

2. These Terms and Conditions shall be governed by and construed in accordance with the laws of India and subject to exclusive jurisdiction of the competent Courts in Hyderabad.

3. The Company is empowered to take a decision on any case not covered by the present Terms and Conditions and the said decisions shall be considered as final and binding on the Participant.

The Participant agrees that the Participant has read and understood the terms and conditions mentioned herein above.
